Influencer Collaboration Agreement

This Influencer Agreement ("Agreement") outlines the terms and conditions between House of Influencer Marketing (hereinafter referred to as "Agency") and the Influencer (hereinafter referred to as "Influencer") regarding the collaboration for influencer marketing campaigns.

1. Parties Involved

This Agreement is entered into between:

Agency: House of Influencer marketing having it's office at House of Influencer Marketing, VJJX-VHV, 10th Main Rd, AECS Layout - A Block, HSR Layout, Bengaluru, Karnataka 560068, India

Influencer: [Influencer's Name], located at [Influencer's Address] (or their agent).

2. Scope of Work

The Influencer agrees to:

  • Promote Products/Services: The Influencer will create content (e.g., posts, videos, stories) on social media platforms (Instagram, YouTube, TikTok, etc.) promoting the products or services of the Agency's client, as per the campaign brief.

  • Content Creation: The content must adhere to the provided guidelines, including brand tone, visual aesthetics, and messaging. Influencers should ensure the content is engaging, authentic, and appealing to their audience.

  • Approval Process: All content must be submitted to the Agency/Client for approval before being published. Any changes required by the Client should be implemented in a timely manner.

3. Compensation

  • Payment Structure: The Influencer will be paid a agreed commercial or commission-based compensation for the services provided, as outlined in the campaign brief sent over mail or whatsapp or separate payment terms document shared by our representative.

  • Payment Terms: Payment will be made within 60 days of content posting, or as otherwise agreed in writing. The payment will be made via bank transfer, NEFT, RTGS, IMPS or UPI.

4. Disclosure and Compliance

Disclosure of Sponsored Content: The Influencer must disclose the nature of the content (paid/sponsored) using appropriate hashtags or labels such as #ad, #sponsored, #partner, etc., in compliance with ASCI guidelines, the FTC, and platform-specific rules.

Platform Guidelines: The Influencer agrees to comply with each social media platform’s terms of service and advertising policies.

5. Content Ownership

  • Ownership: The Influencer retains the copyright of the content but grants the Client a non-exclusive, royalty-free license to use the content across all marketing channels, including but not limited to social media, websites, advertisements, etc.

  • Usage Rights: The Client may use the content for a period which agreed upon by both parties, with respect to the scope and platforms where it can be used.

6. Confidentiality

  • Confidential Information: The Influencer agrees to keep confidential any proprietary information, campaign details, pricing, strategies, and any other information disclosed by the Agency/Client during the course of the campaign.

  • Post-Campaign Confidentiality: The confidentiality obligations continue even after the conclusion of the campaign.

7. Indemnification

Indemnification Clause: The Influencer agrees to indemnify and hold harmless the Agency and Client from any legal claims, damages, or losses arising from the Influencer’s breach of contract, intellectual property violations, or failure to comply with applicable laws.

8. Non-Compete Clause

  • Exclusivity Period: The Influencer agrees not to work with competing brands for a period of [X] months after the completion of the campaign.

  • Conflicting Campaigns: During the campaign, the Influencer agrees not to promote competing products/services.

9. Termination

  1. Termination for Breach: Either party may terminate the Agreement if the other party breaches its obligations and fails to remedy the breach within 7 days.

  2. Termination for Convenience: Either party may terminate the Agreement with 7 days' notice in writing.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, and any disputes shall be resolved in the competent courts of Bangalore.
