Brand Partnership Agreement

This Brand Agreement ("Agreement") sets forth the terms and conditions between [Agency Name] (hereinafter referred to as "Agency") and [Brand Name] (hereinafter referred to as "Client") for influencer marketing campaigns managed by the Agency.

1. Parties Involved

This Agreement is entered into between:

Agency: house of Influencer Marketing having registered address at House of influencer Marketing, VJJX-VHV, 10th Main Rd, AECS Layout - A Block, HSR Layout, Bengaluru, Karnataka 560068, India

Client (Brand): [Brand Name], located at [Brand Address].

2. Scope of Services

The Agency will provide the following services to the Client:

  1. Influencer Selection & Management: The Agency will identify, negotiate, and manage relationships with influencers best suited for the Client’s campaign goals.

  2. Campaign Strategy & Execution: The Agency will create a detailed influencer marketing strategy, coordinate content creation, and ensure proper execution of the campaign.

  3. Content Review & Approval: The Agency will facilitate the content review and approval process between the influencers and the Client.

  4. Performance Reporting: The Agency will provide campaign performance reports including metrics such as reach, engagement, and conversions.

3. Campaign Timeline

  1. Pre-Campaign Planning: The Agency and Client will mutually agree on the campaign strategy, timeline, and deliverables.

  2. Campaign Execution: The campaign will be executed as per the agreed schedule, including content creation, posting, and performance tracking.

  3. Post-Campaign Reporting: A comprehensive campaign performance report will be shared with the Client within 7 days of campaign completion.

4. Payment Terms

  • Campaign Fees: The Client agrees to pay the Agency a fee for the influencer marketing services rendered, as outlined in the Service Level Agreement (SLA) shared by our partnership team.

  • Influencer Compensation: The Agency will be responsible for compensating the influencers based on the agreed payment terms, which will be invoiced separately.

  • Payment Schedule: The Agency will invoice the Client 2 days before the start of the campaign or as otherwise agreed. Payments are due within 3 days of invoice receipt.

5. Confidentiality

  • Confidential Information: Both parties agree to keep confidential any information that is shared during the campaign process, including business strategies, pricing, client data, and other proprietary details.

  • Non-Disclosure Agreement (NDA): A separate Non-Disclosure Agreement may be signed to ensure the confidentiality of sensitive information.

6. Content Usage & Intellectual Property

  • Content Ownership: The Client will retain the rights to any content created during the campaign, including influencer posts, videos, and other promotional material.

  • Licensing Rights: The Client grants the Agency a non-exclusive, royalty-free license to use the content for marketing and promotional purposes, including the right to modify, distribute, and display the content.

  • Intellectual Property Infringement: The Agency ensures that the influencers create content that does not infringe upon any third-party intellectual property rights.

7. Compliance & Legal

  • Disclosure Compliance: The Client agrees to ensure that influencers comply with all relevant advertising disclosure laws (e.g., ASCI, FTC) and that content is clearly marked as sponsored or paid.

  • Consumer Protection Act, 2019: The Client will ensure all content complies with the Consumer Protection Act, 2019, ensuring that no misleading or false information is presented to consumers.

  • Data Protection & Privacy: Both parties agree to comply with all applicable data protection laws (GDPR, IT Act, etc.), including the safe handling of consumer data.

8. Indemnification

  • Indemnification Clause: The Client agrees to indemnify the Agency for any claims, damages, losses, or liabilities that arise from the Client’s breach of this Agreement, including content violations, intellectual property disputes, or false advertising claims.

  • Agency Indemnification: The Agency agrees to indemnify the Client for any legal issues arising from improper influencer behavior or content violations.

9. Termination

  • Termination for Convenience: Either party may terminate this Agreement upon 5 days' written notice.

  • Termination for Breach: If either party breaches any term of this Agreement, the non-breaching party may terminate the Agreement immediately with written notice.

  • Post-Termination Obligations: After termination, both parties will be obligated to return all confidential information and cease the use of any proprietary content.

10. Governing Law
